Epia Neuro reserves the right to withdraw or amend the Services, and anyservice or material we provide on the Services, in our sole discretion withoutnotice. From time to time, we may restrict access to the entire or some partsof the Services to users, including any registered users, if applicable. EpiaNeuro is not responsible for any loss or harm related to your inability toaccess or use the Services. You are responsible for making all arrangementsnecessary for you to have access to the Services.

You may be asked to provide certain registration details or otherinformation in order to access the Services. All such information you providethrough the Services must be accurate, complete, and up to date. You agree notto provide any other person with access to the Services using your name, email,or other personal or security information. You agree to notify us immediatelyof any unauthorized access or any other breach of security.

We have the right to disable any access, username, password, or otheridentifier, whether chosen by you or provided by us, at any time in our solediscretion for any or no reason, including if, in our opinion, you haveviolated any provision of these Terms.

2. Investigational Device and Medical Disclaimer

The Services provide general information about Epia Neuro and itsinvestigational brain-computer interface (BCI) and exoskeleton technology. Allcontent on the Services is for informational purposes only.

• No content on the Services should be interpreted as a substitute for the advice of a qualified healthcare professional.
• Information about Epia Neuro's investigational devices is provided solely for educational and informational purposes and does not constitute promotion, advertising, or an offer to sell.
• The investigational devices described on the Services have not been cleared or approved by the U.S. Food and Drug Administration (FDA) and are limited by federal law to investigational use.

Subject to your compliance with these Terms, Epia Neuro grants you alimited, nonexclusive, non-transferable, non-sublicensable, non-commercial,revocable license to access and use the Services. You may not publish,reproduce, distribute, display, perform, edit, adapt, modify, or otherwiseexploit any part of the Services without Epia Neuro's prior written consent.You will not acquire any ownership rights in any copyrights, patents, tradesecrets, trademarks, or other intellectual property rights on account of theseTerms or any access to or use of the Services. You agree and understand thatEpia Neuro is not obligated to provide you with access to the Services.

The Epia Neuro name, logo, and all related names, logos, product andservice names, designs, and slogans of Epia Neuro are trademarks of Epia Neuro.You may not use any Epia Neuro trademarks without Epia Neuro's prior writtenconsent.

4. Feedback License

Epia Neuro welcomes your feedback, ideas, or suggestions (collectively,"Feedback"), but you agree that we may use your Feedback without anyrestriction or obligation to you, even after these Terms are terminated. Thissection does not limit or affect any rights you may have under applicable dataprotection laws.

5. Prohibited Uses

You may use the Services only for lawful purposes and in accordance withthese Terms. You may not:

(a) Reverse engineer, disassemble, decompile, or otherwise reduce theServices or any software or technology provided to you in connection with theServices to a human-readable form;

(b) Disable or circumvent any digital rights management technology orcontent protection system used with the Services;

(c) Use the Services in any manner that could damage, disable, or impairthe Services or interfere with any other party's use of the Services;

(d) Remove any proprietary notices from materials provided through theServices;

(e) Use the Services to impersonate or attempt to impersonate Epia Neuro,its personnel, or any other person or entity;

(f) Use the Services to engage in any other conduct that restricts anyother person's use of the Services;

(g) Use any automated means, including robots, crawlers, or scrapers, AIagents, to access the Services for any purpose without our express writtenpermission;

(h) Introduce any viruses, Trojan horses, worms, logic bombs, or othermaterial that is malicious or technologically harmful;

(i) Attempt to gain unauthorized access to, interfere with, damage, ordisrupt any parts of the Services, the server on which the Services are hosted,or any server, computer, or database connected to the Services; or

(j) Otherwise access or use the Services in an unlawful or harmfulmanner.

EPIA NEURO ALSODISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,AND NON-INFRINGEMENT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN,OBTAINED BY YOU FROM EPIA NEURO SHALL CREATE ANY WARRANTY.

EPIA NEURO MAKES NO WARRANTY OR REPRESENTATION THAT THE SERVICES WILL:(A) BE TIMELY, UNINTERRUPTED, OR ERROR-FREE; (B) MEET YOUR REQUIREMENTS OREXPECTATIONS; OR (C) BE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

UNDER CERTAIN CIRCUMSTANCES, SOME JURISDICTIONS DO NOT PERMIT THEDISCLAIMERS IN THIS SECTION, SO THEY MAY NOT APPLY TO YOU. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL EPIANEURO OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, INVESTORS, OR AFFILIATESBE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR INCONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, INCLUDING WITHOUTLIMITATION ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVEDAMAGES, INCLUDING WITHOUT LIMITATION PERSONAL INJURY, PAIN AND SUFFERING,EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS ORANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHERCAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVENIF FORESEEABLE.

IN NO EVENT SHALL EPIA NEURO'S TOTAL LIABILITY TO YOU FOR ALL CLAIMSARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED ONEHUNDRED DOLLARS ($100.00).

THE FOREGOING LIMITATIONS DO NOT AFFECT ANY LIABILITY THAT CANNOT BEEXCLUDED OR LIMITED UNDER APPLICABLE LAW.

10. Indemnification

You agree to indemnify, defend, and hold harmless Epia Neuro, itsofficers, directors, employees, agents, affiliates, and licensors from andagainst any and all claims, liabilities, damages, losses, costs, and expenses(including reasonable attorneys' fees) arising out of or in connection with:(a) your use of the Services in violation of these Terms; (b) your violation ofany applicable law or regulation; or (c) any information you provide throughthe Services that is inaccurate, misleading, or incomplete.

11. Term and Termination

These Terms will remain in full force and effect aslong as you continue to access or use the Services. We may, with or withoutprior notice, terminate your access to or use of the Services, with or withoutcause (including for any breach by you of these Terms). In the event of anytermination of any such access or use, the provisions of these Terms that bytheir nature should survive (including, without limitation, Sections 3, 4, 8,9, 10, 12, 14, and 15) shall survive such termination.

12. Governing Law and Venue

These Terms shall be governed by and construed in accordance with thelaws of the State of California, without giving effect to any conflict of lawsprinciples.

You consent to the exclusive jurisdiction and venue of the state andfederal courts located in San Mateo County, for all disputes arising from orrelated to Epia Neuro or the Services.

You agree that any cause of action or claim that you may have relating tothe Services or these Terms must be made or instituted within one (1) year ofthe date when the cause of action or claim occurred.

13. Changes to Terms

Epia Neuro reserves the right to update these Terms at any time in oursole discretion. All changes are effective immediately when we post them andapply to all access to and use of the Services thereafter. Your continued useof the Services following the posting of revised Terms means that you acceptand agree to the changes. The "Last Updated" date above indicateswhen these Terms were last changed. Please review these Terms whenever youaccess or use the Services.

14. Severability

If any provision of these Terms is held to be invalid, illegal, orunenforceable for any reason, such provision shall be modified to the minimumextent necessary to make it valid, legal, and enforceable, or if modificationis not possible, shall be severed from these Terms, and the remainingprovisions shall continue in full force and effect.

15. Waiver

No waiver by Epia Neuro of any term or condition set out in these Termsshall be deemed a further or continuing waiver of such term or condition or awaiver of any other term or condition, and any failure of Epia Neuro to asserta right or provision under these Terms shall not constitute a waiver of suchright or provision.

16. Entire Agreement

Unless otherwise specified, these Terms and our Privacy Policy constitutethe sole and entire agreement between you and Epia Neuro with respect to theServices and supersede all prior understandings, agreements, representations,and warranties, both written and oral, with respect to the Services, includingany prior versions of these Terms.
